These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Agent Match Lab LLC ("Company," "we," "us," or "our"), a Delaware limited liability company, governing your access to and use of the website located at agentmatchlab.com and all associated services, tools, and content (collectively, the "Platform").

Your continued use of the Platform constitutes your unconditional acceptance of these Terms, as amended from time to time. We reserve the right to update these Terms at any time without prior notice. The most current version will always be posted at this URL with an updated effective date.

All content published on or made available through the Platform — including but not limited to website text, page layouts, graphic design, user interface elements, color schemes, typography, logos, icons, photographs, illustrations, audio, video, data compilations, and all other creative works — is the exclusive intellectual property of Agent Match Lab LLC and is protected under the United States Copyright Act (17 U.S.C. § 101 et seq.), applicable state laws, and international copyright treaties.

The following categories of proprietary content are specifically protected and may not be reproduced, copied, distributed, transmitted, displayed, published, licensed, modified, or otherwise exploited in any form or by any means — electronic, mechanical, photocopying, recording, or otherwise — without the prior express written permission of Agent Match Lab LLC:

• All website text, copy, and written content
• The overall site design, layout, and visual composition
• All intake forms, questionnaires, and assessment instruments
• The Client-Agent matching methodology, scoring logic, and persona-assignment algorithms
• All graphics, icons, logos, and branded visual elements
• The "Agent Match Lab" name, brand identity, and associated trade dress
• All data structures, workflows, and proprietary business processes
• Any derivative works based on the foregoing

The compilation of all content on this Platform constitutes a collective work owned exclusively by Agent Match Lab LLC, and is protected as such under applicable copyright law.

"Agent Match Lab," the Agent Match Lab logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Agent Match Lab LLC. You may not use such marks without the prior written permission of Agent Match Lab LLC. All other names, logos, product and service names, designs, and slogans on this Platform are the trademarks of their respective owners.

You agree that you will not, directly or indirectly:

• Copy, reproduce, republish, upload, post, transmit, or distribute any portion of the Platform content without express written authorization
• Scrape, crawl, or use automated tools to extract data, content, or structural information from the Platform
• Reverse-engineer, decompile, or attempt to derive the source code of any matching algorithm or proprietary process
• Frame or mirror any portion of the Platform on any other website or application
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices
• Use any content from this Platform to create competing products or services
• Circumvent any technical measures implemented to protect the Platform's content
• Use the Platform in any manner that could damage, disable, overburden, or impair it

Agent Match Lab LLC respects the intellectual property rights of others and expects users of the Platform to do the same. In accordance with the Digital Millennium Copyright Act of 1998 ("DMCA"), we will respond expeditiously to claims of copyright infringement committed using the Platform.

If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please provide our designated Copyright Agent with the following information: (a) a physical or electronic signature of the copyright owner or authorized agent; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the infringing material and its location on the Platform; (d) your contact information; (e) a statement of good faith belief; and (f) a statement of accuracy under penalty of perjury.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. AGENT MATCH LAB LLC DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AGENT MATCH LAB LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE PLATFORM.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in the State of Delaware, and you hereby consent to personal jurisdiction and venue therein.
